Major Announcement: Disney Acquiring Marvel Entertainment

In a blockbuster announcement this morning, the Walt Disney company is in the process of acquiring Marvel Entertainment for the cool price of $4 billion. Already, the Internet is abuzz with potential cross-overs and the possibilities of a PIXAR comic book movie.
Here is the official press release:
Building on its strategy of delivering quality branded content to people around the world, The Walt Disney Company has agreed to acquire Marvel Entertainment, Inc. in a stock and cash transaction, the companies announced today.
Under the terms of the agreement and based on the closing price of Disney on August 28, 2009, Marvel shareholders would receive a total of $30 per share in cash plus approximately 0.745 Disney shares for each Marvel share they own. At closing, the amount of cash and stock will be adjusted if necessary so that the total value of the Disney stock issued as merger consideration based on its trading value at that time is not less than 40% of the total merger consideration.
Based on the closing price of Disney stock on Friday, August 28, the transaction value is $50 per Marvel share or approximately $4 billion.
“This transaction combines Marvel’s strong global brand and world-renowned library of characters including Iron Man, Spider-Man, X-Men, Captain America, Fantastic Four and Thor with Disney’s creative skills, unparalleled global portfolio of entertainment properties, and a business structure that maximizes the value of creative properties across multiple platforms and territories,” said Robert A. Iger, President and Chief Executive Officer of The Walt Disney Company. “Ike Perlmutter and his team have done an impressive job of nurturing these properties and have created significant value. We are pleased to bring this talent and these great assets to Disney.”
“We believe that adding Marvel to Disney’s unique portfolio of brands provides significant opportunities for long-term growth and value creation,” Iger said.
“Disney is the perfect home for Marvel’s fantastic library of characters given its proven ability to expand content creation and licensing businesses,” said Ike Perlmutter, Marvel’s Chief Executive Officer. “This is an unparalleled opportunity for Marvel to build upon its vibrant brand and character properties by accessing Disney’s tremendous global organization and infrastructure around the world.”
Under the deal, Disney will acquire ownership of Marvel including its more than 5,000 Marvel characters. Mr. Perlmutter will oversee the Marvel properties, and will work directly with Disney’s global lines of business to build and further integrate Marvel’s properties.
The Boards of Directors of Disney and Marvel have each approved the transaction, which is subject to clearance under the Hart-Scott-Rodino Antitrust Improvements Act, certain non-United States merger control regulations, effectiveness of a registration statement with respect to Disney shares issued in the transaction and other customary closing conditions. The agreement will require the approval of Marvel shareholders. Marvel was advised on the transaction by BofA Merrill Lynch.
This news also brings up several questions about the Marvel films already in production or on the horizon. According to Coming Soon, all present deals will stay in place with their current studios. Evidently, John Lasseter met with Marvel last week, and to say he is gleeful of a Marvel/PIXAR movie is the understatement of the year. There are definitely ideas brewing in everyone’s heads involved.

Many feel — me included — that being owned by the Mouse House will curb the edge of the comics and force them to be more family friendly. Disney has stated this will not happen but time will tell.
At the same time, my family and I love Universal Studios in Florida and the Marvel area is one of our favorites — especially the Spider-Man ride. Some fans of that theme park fear that Disney pulled this move as part of their war against their rival theme park. Will Universal be forced to give up the Marvel franchise or do it voluntarily so they won't have to pay a rental check to their main competition? I'm still irate that Universal closed down the kick-butt Back to the Future Ride for a Simpsons Ride. If they close down their entire Marvel area, we may have to stop visiting.
One positive thing about this purchase is that the films and TV shows based on Marvel heroes will receive a huge boost of financing and hopefully creativity from the powerful Disney entertainment machine. If nothing else, I look forward to seeing what the result of that partnership will bring in the future.

For now, I'll spend the next few days kicking myself for not owning Marvel stock.
This is indeed bad news, in my opinion. I just wanted to comment on the idea that Marvel productions may likely get a financial budget boost, but at what cost? We need not see superhero movies move more and more towards the likes of X-Men Origins: Wolverine, Elektra and Fantastic Four, meaning either crappy or too family-oriented… we need good, well-rounded stories with high production value and a focus on characters, not JUST the marketing of the film to little kids.
Iron Man is Marvel's, outright, but Paramount will suck dry all distribution milk. Sony has 'Spider-Man and Marvel gets a cut. 20th Century Fox has 'Fantastic Four' and 'X-Men'. But the next move Marvel has planned, The Avengers, is in question now. This Disney deal could end it all.
Nein. The five movies already set up at Paramount (IRON MAN 2, THOR, CAPTAIN AMERICA, THE AVENGERS, and one, more, unannounced film, probably IRON MAN 3) still have those deals intact. Disney wants to distribute fully somewhere down the line, but those deals are in stone.
I’ve happened to be seeking all about for this particular content. Good thing I just uncovered it in Msn.
